About the Role
As General Counsel, you will serve as Givebutter's founding in-house legal advisor, overseeing all legal, compliance, and regulatory matters. This role requires a high-performing leader who can balance legal risk with business objectives, enabling Givebutter to scale responsibly and effectively.

What You’ll Do
Legal Strategy & Compliance: Craft legal strategies that unlock business objectives while ensuring compliance with applicable laws and regulations.
Contract Management: Draft, review, and negotiate a wide range of agreements, including commercial, partner, vendor, customer, and employment contracts.
Product & Data: Serve as primary Product Counsel, owning Terms of Service and Privacy Policy, and advising on global data compliance requirements.
Process Automation: Use technology to cost effectively scale and automate legal processes.
Risk Management: Identify potential legal risks and develop mitigation strategies to protect the company and its stakeholders.
Corporate Governance: Advise the executive team and Board of Directors on corporate governance matters, ensuring best practices are followed.
Intellectual Property: Manage and protect Givebutter's intellectual property portfolio, including trademarks and copyrights.
Insurance: Oversee the company’s insurance strategy, including D&O, cyber liability, E&O, and general liability.
Regulatory Affairs: Stay abreast of changes in laws and regulations that impact the company, providing timely updates and guidance to the leadership team.
Executive Ownership: Own legal budget and objectives, Board minutes and resolutions, and quarterly legal updates to leadership and the Board.

Who You Are
Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar.
10+ years of legal experience spanning tech, payments, and startups.
Strong understanding of contract law, corporate governance, intellectual property, regulatory compliance, payments regulation (e.g., KYC/AML, card‑network rules), and data privacy (GDPR, CCPA).
Excellent negotiation, communication, and leadership skills.
Ability to work independently in a fast-paced, dynamic environment while managing multiple priorities.
Experience with fundraising, mergers and acquisitions, or public offerings.
Passion for Givebutter's mission, vision, and values.
Experience leading tech decisions to automate business processes.
Bullish on AI and have used it to improve effectiveness.
Familiarity with nonprofit organizations and related legal considerations is a nice-to-have.

Projects You Might Own
Support key product launches: Partner with Product & GTM teams on launches which have heightened compliance risks and require ToS updates (e.g. Raffles).
Serve as our compliance officer: Partner with our VP Engineering to ensure key certifications (e.g. SOC 2, PCI) can be obtained and upheld.
Draft new policy: Partner with leadership to proactively address risk areas such as disaster recovery and insurance.
Ensure payments, fintech, corporate, and tax law compliance: Own compliance and lead the conversation around key regulated areas.
Nonprofit law: Lead the conversation around topics like nonprofit formation, fiscal sponsorship, and newly formed state legislation for fundraising platforms (e.g. CA AB 488).
Minimize fraud and bad actors: Partner with Trust & Safety to improve account flagging and monitoring processes, going beyond basic KYC requirements.
Protect our good name! Resolve disputes with competitors who say false things about us and refuse to stop after being put on notice.
M&A: Evaluate deal risk, draft LOIs, support legal diligence, and review deal docs.
Partner with external counsel as-needed to execute strategic initiatives that require deep domain expertise.

Achieved a significant reduction in dependency on and cost of external counsel.
No instances of major legal penalties or regulatory fines.
Reduced average contract turnaround times and achieving favorable terms.
Unblocked high-risk product launches by addressing compliance challenges (e.g. Raffles).
Terms of Service and Privacy Policy are always up-to-date and legally sound.
Global data compliance (e.g., GDPR, CCPA) across all products and operations.
Reduced fraud loss rates from bad actors.
Implemented technology solutions to automate and improve legal processes.
Proactively identified and mitigated potential legal risks and new regulatory requirements (e.g. California AB 488), preventing disputes and costly litigation.
Accurate and timely Board minutes and resolutions.
Prevented and resolved intellectual property disputes.
Successfully supported M&A activities, including evaluating deal risk, drafting LOIs, supporting legal diligence, and reviewing deal documents.
